Terms of Use
Overview
These Terms of Use (the "Terms") govern your access to and use of the homeBY (referred to herein as "homeBY", "we", "us" or "our") platform, including: (i) our websites homeby.com and homeby.estate (agent profile subdomains); and all associated services, tools, content, dashboards, features and functionalities (collectively, the "Platform").
"You" or "your" means:
- Any Dubai Real Estate Regulatory Agency ("RERA") licensed real estate agent ("Agent") who registers for or uses the Platform to create and manage a professional profile
- Any visitor, prospective buyer ("Buyer") or other individual who browses the Platform or submits enquiries
The Platform is operated by Innovate Insights – FZCO , a company incorporated in Dubai Silicon Oasis and licensed by the International Free Zone Authority, holding trade license number: 44910.
By accessing or using the Platform (including creating an account, submitting content or clicking "I agree"), you confirm that you have read, understood and agree to these Terms, our Privacy Policy , and any applicable Agent agreements or order forms.
The Platform
homeBY is a SaaS platform providing RERA-licensed real estate agents operating in Dubai with personalised professional websites under the homeby.estate domain. Key features include:
- Profile microsites: Each Agent receives a dedicated subdomain (e.g. yourname.homeby.estate) to showcase their biography, RERA credentials, track record, specialities, performance statistics, property listings (with Trakheesi verification), and client testimonials.
- Lead capture: Embedded enquiry forms route prospective Buyer enquiries directly to the Agent (and optionally their brokerage).
- Agent dashboard: Manage your profile, view performance analytics (views, enquiries), update details and handle subscriptions.
- Waitlist and marketing site (homeby.com): Information for prospective Agents, demo requests and waitlist signups.
The Platform is a technology service enabling licensed Agents to build their personal brand and generate leads. homeBY does not act as a real estate broker, intermediary, property lister, marketer, or transaction facilitator.
Eligibility
Access to the Platform is restricted to eligible RERA-licensed Agents only:
- You must hold a valid, current RERA practice card with a corresponding license number
- You must be at least 18 years old and legally authorised to work as a real estate professional in Dubai
- You must not be suspended, debarred or otherwise ineligible under RERA/Dubai Land Department ("DLD") rules
homeBY verifies eligibility during application review. We approve accounts at our discretion based on RERA status, completeness of application and compliance commitment. Unlicensed individuals, brokerages (as distinct from individual Agents) or non-Dubai agents are ineligible.
For Buyers and website visitors: No registration required, but use is subject to these Terms.
Your Account
Your homeBY account, including registration, login, account settings, subscription management, and billing, is managed through homeby.com. Your public-facing Agent profile or microsite is hosted separately on your personalised subdomain at yourname.homeby.estate.
If you are granted access to create or use an account on the Platform, you are responsible for:
- Maintaining the confidentiality and security of your login credentials and account access details
- All activity carried out through or under your account, whether on homeby.com, homeby.estate, or any related part of the Platform
- Ensuring that all information, content, profile details, listings, testimonials, media, and other materials published or made available through your account are accurate, current, lawful, and compliant with these Terms and all applicable laws and regulations
- Promptly updating your account and profile information where necessary to keep it accurate and up to date
- Notifying us immediately at support@homeby.com if you know of or suspect any unauthorised access to, use of, or compromise of your account or any part of the Platform associated with your profile
You must not share your account with any other person or permit any third-party to access or use your account, except where expressly authorised by homeBY in writing. You may not sell, assign, transfer, sublicense, or otherwise allow another person to use your account or profile.
homeBY reserves the right to suspend, restrict, or terminate your access to the Platform, or to remove or disable any profile, content, or account, at any time where we reasonably believe that:
- Your account has been compromised
- You have breached these Terms
- Any information or content associated with your account is inaccurate, misleading, unlawful, or non-compliant
- Such action is necessary for operational, legal, regulatory, security, or reputational reasons
Permitted Use
You may access and use the Platform solely for lawful, professional purposes in connection with your activities as a duly licensed real estate Agent in the Emirate of Dubai. You agree to use the Platform in compliance with:
- All applicable laws and regulations of the United Arab Emirates, including applicable federal laws and regulations of the Emirate of Dubai
- All rules, regulations, circulars, and guidelines issued by the DLD and the RERA including those relating to real estate brokerage, advertising, listings, and professional conduct
- Applicable consumer protection, commercial, and advertising laws and regulations
- Applicable cybersecurity and data protection laws, including the UAE Cybercrime Law (Federal Decree-Law No. (34) of 2021), where relevant
- These Terms and any policies, standards, or guidelines made available by homeBY from time to time
All property listings, advertisements, and related promotional content made available through your homeBY profile must strictly comply with all applicable real estate advertising laws and regulatory requirements in Dubai, including all rules, regulations, circulars, and guidelines issued by the DLD and the RERA.
Without limitation, you must ensure that:
- A valid advertising permit (including, where applicable, a Trakheesi permit) has been obtained prior to publishing any property listing or advertisement on the Platform
- All permit details, reference numbers, and required disclosures are accurately included and displayed in accordance with applicable regulations
- Each listing or advertisement is accurate, current, not misleading, and fully compliant with applicable regulatory requirements at all times
- All required permits, approvals, and authorisations remain valid and in force for the entire duration that the relevant listing or advertisement is published on the Platform
You are solely responsible for obtaining, maintaining, and ensuring the ongoing validity of all such permits, approvals, and authorisations, and for ensuring that all listings and advertisements published through your profile comply with applicable law at all times.
Prohibited Conduct
You must not use the Platform, or permit any third-party to use the Platform through your account, to:
- Post, publish, or promote any content, listing, advertisement, or professional claim that is false, misleading, inaccurate, deceptive, or fraudulent
- Misrepresent your identity, professional qualifications, brokerage affiliation, or RERA licence status, or impersonate any person or entity
- Publish or promote any property, listing, or advertisement in breach of applicable laws or regulatory requirements, including any rules, regulations, or guidelines issued by the DLD, the RERA, or Dubai Municipality
- Upload, share, or make available any content that is unlawful, defamatory, abusive, offensive, or in violation of applicable laws relating to public order, public decency, or morality in the United Arab Emirates
- Engage in unsolicited communications, spam, or any form of harassment, or collect, store, or use personal data of other users without a lawful basis
- Attempt to gain unauthorised access to the Platform, its systems, networks, or any other user accounts, or interfere with the security, integrity, or operation of the Platform
- Use any automated means, including bots, crawlers, scrapers, or similar technologies, to access, extract, monitor, or copy any data or content from the Platform without our prior written consent
- Copy, reproduce, distribute, sublicense, resell, or otherwise commercially exploit any part of the Platform or its content, except as expressly permitted under these Terms
- Use the Platform in any manner that is unlawful or that may expose homeBY to legal, regulatory, or reputational risk
You must ensure that your use of the Platform, including all content, listings, communications, and interactions conducted through or arising from the Platform, is lawful, accurate, not misleading, and compliant with all applicable regulatory requirements.
homeBY reserves the right, at its sole discretion, to remove, restrict, or disable access to any content, listing, profile, or account, and to suspend or terminate access to the Platform, where it reasonably believes that this Section or Section 4 has been breached or that any content or activity may give rise to legal, regulatory, or reputational risk.
Subscription & Payment
Access to certain features of the Platform, including the creation and maintenance of an Agent profile or microsite, is provided on a paid subscription basis. Subscriptions are purchased, billed, and managed through homeby.com.
By purchasing or maintaining a subscription, you agree that:
- You will pay the applicable subscription fees, charges, and any other amounts specified at the time of purchase or renewal on homeby.com or homeby.estate
- Unless otherwise stated, subscriptions are billed on a recurring monthly basis and will automatically renew until cancelled in accordance with these Terms
- You authorise homeBY and its payment service providers to charge your selected payment method for all applicable subscription fees and recurring charges
- You are responsible for ensuring that your payment details remain valid, current, and capable of accepting recurring charges
- All fees are exclusive of any applicable taxes, duties, levies, or charges unless expressly stated otherwise
Unless otherwise required by applicable law, all subscription fees are non-refundable, including in the event of partial use, non-use, suspension, or termination of your account.
homeBY may change its subscription fees, pricing structure, or billing terms from time to time. Where we do so, we will provide reasonable prior notice through homeby.com, by email, or through the Platform. Any revised pricing will apply from the start of the next billing cycle unless otherwise stated.
If payment is not successfully received within fifteen (15) days of the due date, or if your payment method fails, expires, or is declined, homeBY may suspend, restrict, or terminate your access to the Platform, including disabling or unpublishing your homeby.estate profile, until all outstanding amounts are paid in full.
homeBY reserves the right to recover any overdue amounts and to engage third-party payment processors or collection service providers where reasonably necessary.
Availability and Changes to the Platform
homeBY will use reasonable efforts to keep the Platform available and operating properly. However, the Platform may from time to time be unavailable, interrupted, delayed, or limited due to scheduled maintenance, updates, upgrades, system changes, third-party service failures, security incidents, or other technical or operational reasons.
homeBY may modify, enhance, suspend, remove, or discontinue any part of the Platform, including any feature, functionality, integration, design element, badge, metric, or content format, at any time and without liability.
homeBY shall not be liable for any unavailability, interruption, degradation, modification, or discontinuation of the Platform or any part of it, except to the extent such liability cannot be excluded under applicable law.
Your Content & Profile Information
You retain ownership of the text, images, photographs, profile information, biography, listing information, testimonials you submit, and any other content or materials that you upload, submit, publish, or otherwise make available through your homeBY account or profile ("Your Content").
By uploading or making Your Content available through the Platform, you grant homeBY a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, display, format, publish, transmit, distribute, and otherwise use Your Content to operate, maintain, display, improve, market, support, and provide the Platform and related services.
You represent and warrant that:
- You own or have the right to use all content you upload, including your profile photo
- Your name, phone number, WhatsApp number, email address, and social media handles displayed on your profile are your own and you consent to them being publicly visible
- Your Content does not infringe any third-party intellectual property rights
- Your Content complies with all applicable UAE advertising and real estate regulations, including the Trakheesi advertising permit requirements
- Your Content does not contain misleading claims about properties, your credentials, or your performance
- Any performance claims you enter manually (e.g. properties sold, transaction volume) are accurate, verifiable, and compliant with RERA advertising standards
- You will not solicit, incentivise, or otherwise manipulate clients into leaving testimonials or star ratings
- You will not attempt to edit, remove, or interfere with testimonials submitted by users through the Platform
Publicly visible data: Your homeby.estate profile is intended to be publicly accessible on the internet. This means that information you choose to publish through your profile may be visible to anyone online and may be viewed, copied, shared, indexed by search engines, or otherwise accessed by third parties. You are solely responsible for deciding what information and content you choose to publish through your public profile and for ensuring that you are comfortable with the public visibility of such information. homeBY does not guarantee the confidentiality, exclusivity, or restricted distribution of any content or information that you choose to publish publicly through the Platform.
We may remove any content that violates these Terms or applicable law without prior notice.
Profile Features & Platform-Generated Data
Your homeBY profile includes a combination of Agent-entered content and platform-generated features. The following terms apply to specific features:
- Performance statistics (views, enquiries): Profile view counts and enquiry statistics are generated by homeBY's systems. This data is provided for informational purposes. homeBY does not guarantee the accuracy of these metrics and they should not be used as a basis for any formal claim or representation.
- Agent-entered stats (properties sold, transaction history): You are solely responsible for the accuracy of any performance data you manually enter. By publishing such data, you warrant it is truthful and compliant with RERA's advertising guidelines. homeBY reserves the right to request supporting documentation and to remove unverified claims.
- Verified badge: The verified badge is a trust signal awarded at homeBY's sole discretion. homeBY reserves the right to award, withhold, suspend, or permanently remove the verified badge from any profile at any time and without prior notice. The verified badge does not constitute an endorsement of an Agent's professional conduct, performance, or qualifications beyond RERA licence verification.
- Star ratings and testimonials: Testimonials and star ratings are submitted directly by users and published on Agent profiles. Agents cannot author, edit, or delete testimonial content. homeBY reserves the right to remove any rating or testimonial it reasonably believes to be fabricated, incentivised, or otherwise misleading. Agents must not pressure or incentivise clients to leave reviews.
- Availability & response time: You are responsible for keeping your stated availability and response time accurate. Misleading availability information may result in profile suspension.
- Professional branding: The homeBY logo and "Verified by homeBY" marks displayed on your profile remain the property of homeBY and are displayed under licence. They will be removed upon account termination.
Intellectual Property
All rights, title, and interest in and to the Platform, including all software, technology, systems, databases, designs, layouts, user interfaces, features, functionality, content, text, graphics, logos, trademarks, service marks, branding, and other materials (collectively, the "homeBY IP"), are owned by or licensed to homeBY and are protected under applicable intellectual property laws in the UAE and other applicable jurisdictions.
Except as expressly permitted under these Terms, you may not, and must not permit any third-party to:
- Copy, reproduce, modify, adapt, translate, or create derivative works of any part of the Platform or homeBY IP
- Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code or underlying structure of the Platform
- Use, reproduce, distribute, or display any homeBY branding, logos, or trademarks without prior written consent
- Access or use the Platform for the purpose of building, developing, or improving a competing product or service
- Otherwise use the Platform or any homeBY IP in a manner not expressly permitted by these Terms
Subject to your compliance with these Terms and payment of applicable fees, homeBY grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for its intended purpose.
Subdomain and Profile Hosting
Any subdomain assigned to you (for example, yourname.homeby.estate) is provided as part of the Platform on a limited, revocable licence basis for use during an active subscription. You acknowledge and agree that:
- You do not acquire any ownership rights in any subdomain, domain name, or related URL provided by homeBY
- homeBY retains full control and ownership of all such domains and subdomains
- homeBY may reassign, modify, suspend, or deactivate any subdomain at any time, including upon suspension or termination of your account
- You must not attempt to register, use, or claim rights in any domain name, trademark, or identifier that is confusingly similar to homeBY or its branding
Brand Usage
Any use of our branding, including logos, badges (such as "Verified by homeBY"), or other brand elements, is permitted solely within the Platform and in accordance with these Terms. You must not use our branding in any external materials, marketing, advertisements, or communications without our prior written consent.
All rights not expressly granted to you under these Terms are reserved by homeBY.
Third-Party Services and Integrations
homeBY may use or integrate with third-party service providers to support the operation and functionality of the Platform, including providers of hosting, cloud infrastructure, analytics, communications, payment processing, and other technical or operational services.
Where such providers process data on behalf of homeBY, they do so under contractual arrangements and are required to process such data only for authorised purposes and in accordance with applicable law.
The Platform may also include links to, integrations with, or functionality that enables you to access or interact with third-party services that are not operated or controlled by homeBY, including external websites, social media platforms, messaging applications, or other third-party tools.
If you choose to access or use any such third-party services, your interactions with them and any information you provide to them will be governed by their own terms and privacy policies. homeBY does not control and is not responsible for the content, availability, security, or data processing practices of such third-party services. You are responsible for reviewing and complying with the terms and privacy policies of any third-party services you choose to use in connection with the Platform.
Term & Termination
Term
These Terms commence when you first access or use the Platform and will continue in effect for as long as you access or use the Platform, unless terminated in accordance with this Section.
Cancellation by You
You may cancel your subscription at any time through your account on homeby.com or by contacting us at support@homeby.com.
Unless otherwise stated, cancellation will take effect at the end of your then-current billing period. You will continue to have access to the paid features of the Platform until the end of that billing period, after which your subscription will not renew and your homeby.estate profile may be unpublished, deactivated, or removed.
Cancellation of your subscription does not entitle you to any refund for fees already paid, except where required by applicable law.
Suspension or Termination by homeBY
homeBY may suspend, restrict, or terminate your access to the Platform, your account, your profile, or any part of the Platform at any time, with or without notice, where we reasonably believe that:
- You have breached these Terms or any applicable law, regulation, or regulatory requirement
- Your RERA licence or eligibility to use the Platform has lapsed, expired, been suspended, revoked, or is otherwise no longer valid
- Any content, listing, claim, or activity associated with your account is inaccurate, misleading, unlawful, non-compliant, or otherwise inappropriate
- We receive a complaint, notice, instruction, or request from a competent authority, regulator, rights-holder, or other relevant third-party
- Your use of the Platform poses a legal, regulatory, operational, security, or reputational risk to homeBY, other users, or the Platform
- Suspension, restriction, or termination is otherwise necessary to protect the Platform or comply with our legal or regulatory obligations
Where reasonably practicable, we may notify you of such action, but we are not obliged to provide prior notice, a warning, or an opportunity to cure before taking action.
Effect of Cancellation or Termination
Upon cancellation or termination:
- Your right to access and use the Platform will cease (or, in the case of cancellation, cease at the end of the applicable billing period)
- Your homeby.com account and/or homeby.estate profile may be suspended, unpublished, deactivated, removed, or disabled
- Any rights granted to you under these Terms will immediately terminate
- homeBY may retain, remove, delete, anonymise, or archive account data, profile information, and content in accordance with its Privacy Policy, legal obligations, internal retention practices, and legitimate business needs
Termination or cancellation will not affect any accrued rights, payment obligations, liabilities, or provisions of these Terms which by their nature are intended to survive termination, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnities, payment obligations, and dispute resolution.
Disclaimers
The Platform is provided on an "as is" and "as available" basis, without any representations, warranties, guarantees, or conditions of any kind, whether express, implied, statutory, or otherwise, to the fullest extent permitted by applicable law.
To the fullest extent permitted by applicable law, homeBY disclaims all warranties, representations, and conditions, including any implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, title, non-infringement, accuracy, reliability, availability, or uninterrupted access.
Without limiting the foregoing, homeBY does not warrant or represent that:
- The Platform will be uninterrupted, secure, error-free, or continuously available
- Any profile, listing, enquiry, testimonial, rating, metric, or other content on the Platform is accurate, complete, current, lawful, or fit for any particular purpose
- Any Agent, Buyer, or other user of the Platform is legitimate, qualified, reliable, or suitable
- Any enquiries, leads, interactions, or profile views will result in transactions, instructions, sales, or business opportunities
- Any defects, errors, or issues in the Platform will be corrected
homeBY is a technology and branding platform only. homeBY does not act as a real estate broker, real estate agent, intermediary, property consultant, or representative of any buyer, seller, landlord, tenant, or developer, and does not participate in, negotiate, advise on, or conclude any real estate transaction.
homeBY is not responsible for:
- The accuracy, legality, completeness, or regulatory compliance of any property listing, profile content, performance claim, testimonial, rating, advertisement, or other material published by an Agent or other user
- Any act, omission, statement, conduct, communication, or representation of any Agent, Buyer, or other user of the Platform
- Any transaction, negotiation, dispute, claim, loss, or damage arising out of or in connection with any interaction between users of the Platform
- Any loss of data, content, visibility, profile traffic, enquiries, or business opportunities arising from use of, or inability to use, the Platform
You are solely responsible for exercising your own judgment and making your own independent assessments in relation to any person, property, listing, enquiry, or opportunity accessed through the Platform.
Confidentiality
In connection with your use of the Platform, you may receive or have access to certain non-public, confidential, proprietary, or commercially sensitive information relating to homeBY, the Platform, its technology, pricing, operations, product features, business model, or other users ("Confidential Information").
You agree that you will:
- Use Confidential Information solely to the extent necessary to access and use the Platform in accordance with these Terms and not for any other unauthorised purpose
- Not disclose Confidential Information to any third-party without our prior written consent, except where required by applicable law
- Disclose Confidential Information only to your directors, officers, employees, contractors, or agents who have a legitimate need to know such information for the permitted purpose and who are bound by confidentiality obligations no less protective than those set out in these Terms
- Protect Confidential Information using at least the same degree of care you use to protect your own confidential information of similar importance, but in no event less than a reasonable degree of care
Confidential Information does not include information that you can demonstrate:
- Was lawfully known to you before disclosure without any obligation of confidentiality
- Becomes publicly available through no breach of these Terms
- Is lawfully received from a third-party without restriction
- Is independently developed without reference to the Confidential Information
If you are required by law, regulation, or court order to disclose Confidential Information, you may do so only to the extent legally required, and, where legally permitted, you must give us prompt notice before disclosure.
The confidentiality obligations in this Section will continue during your use of the Platform and for three (3) years after your access to the Platform ends, except in relation to trade secrets, which shall remain protected for so long as they remain trade secrets under applicable law.
Limitation of Liability
To the maximum extent permitted by applicable law:
- In no event will homeBY (including its affiliates, founders, directors, officers, employees, contractors, licensors, and service providers) be liable to you for any indirect, incidental, consequential, special, punitive, or exemplary damages, including any loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings, or any business interruption, arising out of or in connection with the Platform or these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if homeBY has been advised of the possibility of such damages
- homeBY's total aggregate liability arising out of or relating to the Platform or these Terms, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the total amount of subscription fees actually paid by you to homeBY in the three (3) months immediately preceding the event giving rise to the claim
If you are dissatisfied with the Platform, your sole and exclusive remedy is to stop using the Platform.
Nothing in these Terms shall exclude or limit any liability that cannot be excluded or limited under applicable law. Where applicable law does not permit certain limitations of liability, such limitations shall apply only to the extent permitted by law.
Indemnity
You agree to defend, indemnify, and hold harmless homeBY and its affiliates, founders, directors, officers, employees, contractors, licensors, service providers, and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Terms or any applicable law, regulation, or regulatory requirement
- Your access to, use of, or misuse of the Platform
- Your Content, including your profile information, listings, advertisements, testimonials, claims, performance data, communications, or any other content submitted, uploaded, published, or made available by you through the Platform, including any allegation that such content infringes, misappropriates, or otherwise violates the rights of any third-party
- Any dispute, complaint, claim, investigation, or proceeding arising between you and any Buyer, client, prospective client, other user, regulatory authority, rights-holder, or third-party in connection with your use of the Platform, your profile, your listings, your services, or any interaction initiated through the Platform
- Your negligence, fraud, wilful misconduct, or non-compliance with any applicable professional, advertising, licensing, or regulatory obligations
homeBY reserves the right, at its own option and expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully with homeBY in the defence and settlement of any such matter.
You must not settle any claim subject to indemnification under this Section without our prior written consent, unless such settlement fully and unconditionally releases homeBY from all liability and does not impose any admission, obligation, or restriction on homeBY.
We will take reasonable steps to notify you of any claim for which we seek indemnification under this Section, provided that any failure or delay in giving such notice will not relieve you of your indemnity obligations except to the extent you are materially prejudiced by such failure or delay.
Data Protection and Privacy
homeBY is committed to protecting personal data and handling it in accordance with applicable data protection laws and our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy explains how we collect, use, store, share, and otherwise process personal data in connection with the Platform. By accessing or using the Platform, you acknowledge that you have read and understood our Privacy Policy.
Where applicable, you are responsible for ensuring that any personal data you upload, publish, or otherwise make available through the Platform is collected, used, and disclosed by you in compliance with applicable law.
Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, applicable law, or regulatory requirements. Where we make material changes, we will provide at least fourteen (14) days' prior notice by email or through a notice on the Platform, and we will update the "Last Updated" date at the top of these Terms. Your continued use of the Platform following such notice will constitute your acceptance of the revised Terms.
General Provisions
Independent relationship. Nothing in these Terms creates or shall be construed as creating any partnership, joint venture, agency, fiduciary, employment, brokerage, representative, or other similar relationship between you and homeBY.
Assignment. You may not assign, transfer, delegate, sublicense, or otherwise dispose of any of your rights or obligations under these Terms without homeBY's prior written consent. homeBY may assign, transfer, novate, subcontract, or otherwise deal with any of its rights or obligations under these Terms at any time, including to an affiliate or in connection with a merger, acquisition, corporate restructuring, or sale of all or part of its business, assets, or Platform.
Notices. Any notices or communications to homeBY under these Terms should be sent to: support@homeby.com. homeBY may provide notices or communications to you by email, through your account, through the Platform, or by any other reasonable means.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.
Waiver. No failure or delay by homeBY in exercising any right, remedy, power, or privilege under these Terms shall operate as a waiver of that right, remedy, power, or privilege, nor shall any single or partial exercise of any such right, remedy, power, or privilege preclude any other or further exercise of it.
Compliance with law. You are solely responsible for ensuring that your access to and use of the Platform complies with all laws, regulations, and regulatory requirements applicable to you, including any professional, licensing, advertising, consumer protection, privacy, anti-spam, anti-corruption, and other legal obligations relevant to your activities.
Entire agreement. These Terms, together with any policies or documents expressly incorporated by reference (including the Privacy Policy), constitute the entire agreement between you and homeBY in relation to your access to and use of the Platform, and supersede all prior or contemporaneous discussions, understandings, representations, or agreements, whether written or oral, relating to the same subject matter.
Governing law and jurisdiction. These Terms, and any dispute, claim, or matter arising out of or in connection with these Terms or the Platform, shall be governed by and construed in accordance with the laws of England & Wales, without regard to its conflict of laws principles.
In the event of any dispute arising out of or in connection with these Terms or the Platform, the parties shall first seek to resolve such dispute through good-faith negotiations. If the dispute is not resolved through such negotiations within a reasonable period, it shall be submitted to the exclusive jurisdiction of the courts of the Dubai International Financial Centre.
